Public offer

Effective date: 15 October 2026

This is a translation provided for convenience. In case of any discrepancy, the Ukrainian version prevails.

1. General provisions

This Public Offer (the "Offer") is an official proposal by Individual Entrepreneur Melnyk Zakharii Volodymyrovych (single tax, group 3, non-VAT payer) to enter into an agreement for the provision of services and the sale of goods on the terms set out below.

The Offer is addressed to any natural person aged 16 or over (the "User") who intends to use the AOA platform (the "Platform"), available at aoa.com.ua.

Registering on the Platform, placing an order or paying for a subscription constitutes full and unconditional acceptance of this Offer in accordance with Article 642 of the Civil Code of Ukraine.

Definitions:

  • Platform: the AOA web application, an ecosystem of in-person meetings, communities and events
  • Subscription: paid access to extended features of the Platform for a fixed term
  • Product: a physical product offered in the "Market" section of the Platform
  • Order: a request placed by the User to purchase a Product
  • Personalized product: a product made individually to the User's specifications (named certificates, etc.)
  • Ticket: an electronic document confirming the User's right to attend an Event
  • Event: an occasion (party, concert, workshop, lecture, etc.) organized by a Venue or an Event Organizer through the Platform
  • Organizer: an individual entrepreneur or a legal entity that creates and holds an Event through the Platform

2. Description of services

The Platform provides the following services:

  • Meeting people in real spaces: access to chat rooms in cafés, coworking spaces and other spaces for users who are physically present at the location
  • Premium subscription: extended features for users (a higher message limit, an extended profile, etc.)
  • Subscription for venues: tools for venue owners (analytics, event management, bookings)
  • Events and tickets: sale of tickets to events held by Venues or Organizers through the Platform
  • Online store: sale of branded goods and named certificates

3. Registration and account

  • Registration is done through Google, Apple or Telegram
  • The Platform is intended for persons aged 16 or over. Special rules set out in section 3.1 apply to Users aged 16 to 18
  • The date of birth in the profile must be true: the Platform's age rules depend on it. The Platform does not accept a date of birth according to which the User is under 16
  • The User undertakes to provide accurate information in their profile
  • We reserve the right to restrict or block access to an account if these terms are breached
  • The User is responsible for keeping access to their account secure

3.1. Users aged 16 to 18

A person aged 16 to 18 is a minor and has partial civil capacity (Article 32 of the Civil Code of Ukraine). The following rules apply to them on the Platform.

  • What is available. An account and profile, venue rooms, registration for Events without an age restriction, and AOA Connect under the rules below.
  • Purchases. A minor User may independently enter into minor everyday transactions (Article 31 of the Civil Code of Ukraine), for example buy an inexpensive Ticket, and may also spend their own earnings, scholarship or other income (Article 32 of the Civil Code of Ukraine). Other purchases, including a Subscription with auto-renewal, expensive Tickets and Products, are made with the consent of their parents (adoptive parents) or custodian. By paying for such a purchase, the minor User confirms that such consent has been given.
  • If consent was not given. The parents or custodian may write to support@aoa.com.ua. We will consider the request within 30 calendar days. If the purchase goes beyond what a minor may do on their own, we will cancel the Subscription and auto-renewal and refund the money paid for the Subscription or Product. The money paid for a Ticket goes to its seller (section 6), so we forward such a request to the seller. This does not limit the parents' right to go to court (Article 222 of the Civil Code of Ukraine).
  • Age-restricted Events. For an Event with an age restriction (for example, 18+), the Platform does not sell a Ticket to, or register, a User who, according to the date of birth in their profile, is younger than the set age. If the Event requires verification through Diia, participation is impossible without it. The organizer or venue may additionally check an ID document at the entrance.
  • Alcohol and tobacco. The Platform does not sell them. The sale of beer, alcoholic beverages and tobacco products to persons under 18 is prohibited (Article 71 of Law of Ukraine No. 3817-IX). An Organizer whose Event programme includes alcohol must set an 18+ age restriction. Venues and Organizers do not offer alcohol to minor Users in any form, including as a discount, a coupon, a loyalty program bonus or a complimentary item.
  • AOA Connect. Participation is allowed from the age of 16, and the date of birth is mandatory. For Users aged 16 to 18 the Platform matches pairs and tables only with peers aged 16 to 18, and for adults only with adults. The rule applies to any purpose of meeting, including romantic. Meetings involving minors are not scheduled in bars or pubs.
  • Venue rooms. A room is open to everyone who is physically present at the venue, so people of different ages may be there. Communication with minors is subject to the rules of section 12.

Parents and custodians. As the legal representatives of a minor (Article 242 of the Civil Code of Ukraine), they may write to support@aoa.com.ua to find out what data of the child we process, to delete the child's account or to cancel a purchase. We may ask for confirmation that the request comes from a legal representative.

Persons under 16. If we learn that an account belongs to a person under 16, we block it and, within 30 days, delete the personal data, except data that the law requires us to keep (for example, payment records). Such an account can be reported to the same address.

4. Subscriptions

Periods: 1 month, 6 months or 12 months.

Payment: made through the internet acquiring of Monobank (JSC "UNIVERSAL BANK"). Prices on the Platform are stated in hryvnias (UAH).

Auto-renewal: the User may choose a subscription with or without automatic renewal. With auto-renewal, the payment is charged to the linked card one day before the current period ends.

Card linking: to activate auto-renewal, a verification charge of 1 UAH is made and refunded automatically.

Cancellation: the User may cancel the subscription at any time in the account settings. After cancellation, access to Premium features remains until the end of the paid period. As a general rule, no pro rata refund is made for the unused part of the paid period, because access to the features remains in full until that period ends.

Exceptions in which the money is refunded:

  • the Platform has stopped providing the paid features on its own initiative or for reasons beyond the User's control, in particular when the service is closed or the relevant plan is discontinued
  • access to the account has been restricted or blocked not because of a breach of this Offer by the User
  • the subscription terms have been materially changed to the User's detriment during the paid period, and the User did not agree to such changes
  • the payment was made by mistake or twice for the same period

In the cases listed above, the cost of the unused part of the paid period is refunded, calculated in proportion to the number of days remaining. The request is sent to support@aoa.com.ua. These provisions do not limit the User's rights under Article 13 of the Law of Ukraine "On Consumer Rights Protection" to withdraw from a distance contract.

The same terms apply to subscriptions for venues and organizations.

5. Orders and payment for products

Placing an order: the User adds products to the cart and places an order, specifying the recipient's details and the delivery address.

Payment: made online through the internet acquiring of Monobank (JSC "UNIVERSAL BANK"). Prices are stated in hryvnias (UAH) and include all taxes.

Confirmation: after successful payment, the User receives an order confirmation. The seller undertakes to process the order within a reasonable time.

6. Event tickets

Purchase: the User may purchase Tickets for Events through the Platform. Payment is made online through the internet acquiring of JSC "UNIVERSAL BANK". The Ticket is generated automatically after successful payment.

Organizer: the seller of the Ticket and the party providing the service of holding the Event is the Organizer, not the Platform. The Platform acts as a technical intermediary that enables payment and delivery of the Ticket.

Several sellers within one Event. The Organizer may engage several sellers, individual entrepreneurs or legal entities, to sell Tickets. The seller is determined separately for each Ticket type, so one order may contain Tickets from different sellers. The money for each Ticket is credited directly to the respective seller (payment splitting at the bank level); the Platform does not accumulate these funds in its accounts. Each seller, on its own and independently of the others, is responsible for its tax obligations and for issuing a settlement document in accordance with applicable law, as well as for fulfilling its obligations to the User for the Tickets it has sold.

Seller information. The name and location of the seller, as well as other information required by Article 13 of the Law of Ukraine "On Consumer Rights Protection", are provided to the User on request, before or after the order is placed. The request is sent to support@aoa.com.ua stating the order or Event number; the Platform provides this information within a reasonable time. Partial seller details (the name of the payee) may also be shown in the bank's payment form and in the payment confirmation.

Event cancellation: if the Organizer cancels an Event, the money is refunded to the User in full. The Platform is not responsible for the cancellation of Events or changes to their terms.

Ticket refunds. The refund policy is set by the Organizer (or the seller) separately for each Event using the Platform's tools. The policy has two parameters:

  • whether refunds at the User's initiative are allowed: yes or no
  • refund deadline: the number of hours before the start of the Event after which refunds at the User's initiative are no longer available; if no deadline is set, a refund is possible until the Event starts

The current refund policy is shown on the Event page before payment. If refunds are allowed, the User requests the refund themselves in their account (in the section of the Event for which the Ticket was purchased) without contacting support; the money is returned to the payment card used for the payment, within the time set by the acquiring bank. After the deadline, or if the Organizer does not allow refunds, the request is sent directly to the Organizer or the seller, who may refund the money at their own discretion.

Right to withdraw from a distance contract. Regardless of the Organizer's policy, the User retains the rights provided by Article 13 of the Law of Ukraine "On Consumer Rights Protection", in particular the right to withdraw from a contract concluded at a distance within fourteen days of its conclusion. The notice of withdrawal is sent to support@aoa.com.ua or directly to the Organizer. The terms of this Offer do not limit or cancel the consumer rights established by law; in case of conflict, the provisions of the law apply.

QR code: the Ticket contains a unique QR code that is checked at the entrance to the Event. Transferring, copying or reselling Tickets to third parties is prohibited unless the terms of a particular Event provide otherwise.

7. Delivery

Products are delivered by Nova Poshta LLC within Ukraine. Available options:

  • To a Nova Poshta branch
  • To a Nova Poshta parcel locker
  • Nova Poshta courier delivery

The delivery cost is calculated separately and shown when the order is placed. Delivery times are determined by the terms of Nova Poshta LLC.

8. Returns and exchange of products

This section applies to physical Products. Refunds for Tickets are governed by section 6, and for Subscriptions by section 4 of this Offer.

Personalized products (named certificates and other products made individually to the User's specifications) cannot be returned or exchanged, in accordance with Article 9 of the Law of Ukraine "On Consumer Rights Protection".

Exception: if a personalized product has a manufacturing defect, we will reimburse its cost, provided that evidence is supplied (a photo or video of the defect).

Standard products (branded merchandise: T-shirts, mugs, etc.) may be returned or exchanged within 14 days of receipt if the product does not meet the stated quality or has defects or damage, in accordance with the Law of Ukraine "On Consumer Rights Protection".

For a return or exchange, write to support@aoa.com.ua with a description of the problem and photos.

9. Prices and payments

All prices on the Platform are stated in hryvnias (UAH). Individual Entrepreneur Melnyk Zakharii Volodymyrovych is a single tax payer (single tax, group 3, non-VAT payer).

Payment is made through the internet acquiring of Monobank (JSC "UNIVERSAL BANK") with support for Visa, Mastercard, Apple Pay and Google Pay.

We reserve the right to change prices. Price changes do not affect orders that have already been paid for or active subscriptions.

10. Intellectual property

The economic intellectual property rights to the Platform belong to Individual Entrepreneur Melnyk Zakharii Volodymyrovych. Protection covers, in particular:

  • software code, both source and object code, as a computer program within the meaning of Article 20 of the Law of Ukraine "On Copyright and Related Rights"
  • design, graphics, video and texts of the Platform, including help and training materials
  • the structure and content of the databases of the Platform, as an object of a special (sui generis) right under Article 21 of the said Law
  • AOA trademarks, logos and commercial designations

What is prohibited. Without the written consent of the owner, the following is not permitted:

  • copying, reproducing, distributing or creating derivative works based on the materials of the Platform
  • automated data collection (scraping, crawling, parsing): extraction and reuse of a substantial part of the contents of the Platform's databases, in particular lists of Venues, Events, profiles and prices, including by systematic extraction of insubstantial parts
  • circumventing or neutralizing technical protection measures, as well as using the Platform through automated means in circumvention of the established restrictions
  • decompiling or disassembling the software code for the purpose of creating a product substantially similar to the Platform, or for any other purpose that infringes copyright

The restrictions of the preceding paragraph do not narrow the rights granted to a lawful user by Article 25 of the said Law, in particular the right to observe, study and test the functioning of a computer program and the right to decompile it to achieve interoperability with other programs.

Ideas and solutions. The parties acknowledge that copyright does not extend to ideas, methods, processes and algorithms (Articles 7 and 20 of the said Law). At the same time, information about the technical solutions of the Platform that has not been made public and has commercial value is a trade secret of Individual Entrepreneur Melnyk Zakharii Volodymyrovych within the meaning of Article 505 of the Civil Code of Ukraine, and its unlawful collection, disclosure or use entails liability under the law.

User content. The materials you upload (photos, descriptions, texts) remain yours. By posting them, you grant the Platform a non-exclusive right to use them to the extent necessary for the service to work: displaying them on pages, generating link previews and search within the Platform.

To report an infringement of your rights, write to support@aoa.com.ua. We consider such requests in the manner set out in Article 56 of the said Law.

11. Public profiles and partner content

Partner: a Venue, Organization, Event Organizer, artist or music band whose profile has been created on the Platform.

Public by default. The Partner understands and agrees that the following pages of the Platform are public, that is, accessible to anyone without registration or sign-in:

  • Organization page: /organization/[slug]
  • public page of an artist or band: /artist/[slug]
  • Event page: /events/[id]
  • Venue or space page: /locations/[id], /spaces/[id]
  • business card pages (bento / linktree), if the Partner has created them: /o/[slug]/[url], /locations/[id]/[url]

What exactly is shown publicly: the Partner's name, logo or avatar, cover image, description (biography), links to social networks and the website, the list of upcoming and past Events, the band line-up (for bands), and any other information that the Partner has voluntarily added to the profile.

Indexing by search engines. Public pages of Partners are included in the sitemap (sitemap.xml) and are open to crawling by search engines (Google, Bing, etc.) and other automated services. Accordingly, the content of these pages may appear in search results. When a link to such a page is shared in messengers and social networks, a preview (OpenGraph image) containing the Partner's name and visual materials is generated automatically.

License to Partner content. By posting content on the Platform, the Partner grants the Platform a non-exclusive, royalty-free license to use this content solely for the purpose of operating the service, namely:

  • posting and displaying the content on the Platform's pages
  • displaying it in search results, catalogs, collections and recommendations within the Platform
  • technical reproduction in a reduced or adapted form (thumbnails, cropping, compression) for correct display on different devices
  • generating OpenGraph previews when links to the Partner's pages are shared
  • giving search engines access to public pages for indexing

The license is valid for as long as the content is posted on the Platform and is limited to the purposes listed above. All intellectual property rights to the content remain with the Partner: this Offer does not transfer any ownership rights to the Platform.

Marketing use requires separate consent. Use of the Partner's name, logo, trademark or other designations in the Platform's own marketing materials (on the home page and landing pages, in advertising campaigns, presentations, case studies, press releases, printed materials and in the Platform's social media accounts) is not covered by this Offer and is carried out only on the basis of the Partner's separate written (electronic) consent. The absence of objections from the Partner is not deemed to be such consent.

Partner warranties. By posting content, the Partner warrants that: it holds the necessary rights to this content or has sufficient authority to grant the license under this section; posting the content does not infringe copyright, trademark rights or other rights of third parties; the consent of the natural persons depicted has been obtained for the use of their images in accordance with Article 308 of the Civil Code of Ukraine; the person posting the content is authorized to act on behalf of the Partner. If third parties make claims, the Partner undertakes to notify the Platform without delay; the Platform has the right to suspend the display of the disputed content until the matter is settled.

Right to turn off public visibility. The public page of an artist or band can be turned off; in that case the page /artist/[slug] becomes unavailable and is removed from the sitemap. This does not affect how the artist is shown among the participants of an Event to which they have been invited. To turn off a public page, or to hide or delete the profile of an Organization or Venue, the Partner contacts the Platform using the contact details given in this Offer or uses the relevant settings in their account, if available.

Technical limitations after deletion. The Platform stops displaying the content on its own resources within a reasonable time after the Partner's request, but does not control or guarantee the immediate disappearance of previously published information from search engine caches, content delivery networks (CDN), web archives (in particular web.archive.org), or from reposts, screenshots and other materials saved by third parties. The Platform makes commercially reasonable efforts to remove it, but the complete disappearance of such copies does not depend on the Platform.

12. Code of conduct

Users undertake to:

  • Respect other users and follow the etiquette of communication
  • Not distribute spam or offensive, illegal or inappropriate content
  • Not engage in fraudulent or misleading actions
  • Not violate other users' right to privacy
  • Not use the Platform for commercial purposes without the consent of the administration
  • Not provide a false date of birth
  • Not offer minors alcohol, tobacco or other goods that may not be sold to them
  • Not induce minors into communication or meetings of a sexual nature, and not send them intimate images or ask them for such images

A breach of the rules may lead to restriction or blocking of access to the Platform. Sexual acts towards children may be a criminal offence (Articles 155, 156, 156-1 and 301-1 of the Criminal Code of Ukraine). In such cases we block the account and may notify law enforcement authorities.

How to report a violation. In a venue room, open the person's card and choose "Report" or "Block". After an AOA Connect meeting, the answer "It was uncomfortable" blocks the other person and sends a signal to the AOA team, and the AOA Connect safety page has an "Alert the AOA team" button. You can also write to support@aoa.com.ua. Complaints are reviewed by the AOA team. If you are in danger, call 102 or 112 first.

13. Limitation of liability

The Platform is provided "as is". We make efforts to keep it running without interruption, but do not guarantee the absence of technical failures.

We are not liable for the actions or omissions of Users, for the outcomes of meetings, or for the operation of third-party services (the bank, the delivery service, etc.).

The Platform is not the organizer of Events and is not responsible for the quality, content, cancellation or change of terms of Events organized by Venues or Organizers. Responsibility for holding Events rests solely with the relevant Organizer.

The User is responsible for the content they post on the Platform (profile photos, messages, etc.). The Platform reserves the right to remove content that violates these terms or applicable law.

14. Changes to the Offer

We reserve the right to make changes to this Offer. We will notify you of material changes by email or by a notification in the app. Continued use of the Platform after the changes are made means acceptance of the updated terms.

15. Dispute resolution

All disputes arising in connection with this Offer are resolved through negotiations. If no agreement can be reached, they are resolved in accordance with the applicable law of Ukraine.
